Terms

1. 1. Term

   • This license runs for 2 years from the Effective Date (the date payment clears) and expires automatically at the end of that period.
   • Releases put out during the term may stay up after it ends, but no new releases, pressings or uses may begin after expiration unless the license is renewed.
   • Renewal is offered at the lease rate in effect at the time of renewal. Studio 22 Phunkee Phoot Productions will not unreasonably refuse a renewal.

2. 2. Grant of rights (non-exclusive)

   • You are granted the non-exclusive right to record vocals over the Beat and to distribute, stream and sell the finished recording ("the New Song") during the term.
   • This license is non-exclusive. Phunkee Phoot keeps full ownership of the Beat and may lease or sell it to other artists, including after your release.
   • The license is personal to you. You may not transfer, sublicense or assign it without written permission.

3. 3. What you get

   • An untagged, mixed MP3 and WAV of the Beat, delivered by email within 24 hours of payment.
   • Track-out stems are not included with a lease. Ask about stems if you need them for mixing.

4. 4. Usage limits

   • Up to 100,000 combined audio streams across all platforms.
   • Up to 5,000 paid downloads or physical units sold.
   • One (1) music video, monetization allowed.
   • Unlimited live performances, paid or unpaid.
   • Radio and podcast play on up to two (2) stations or shows.
   • If the New Song outgrows these limits, the lease must be upgraded to Exclusive Rights before further distribution. Hitting a limit is a good problem — contact the studio and we'll sort it out.

5. 5. Credit

   • The New Song must credit the producer as "Prod. by Phunkee Phoot" in the track title or in the release metadata, and in video descriptions where there is room for it.

6. 6. Ownership and publishing

   • Phunkee Phoot remains the sole author and owner of the Beat and of the underlying composition.
   • You own your vocals and lyrics. Publishing on the New Song is split 50/50 between you and Phunkee Phoot (50% writer's share to the producer), which is standard for a leased instrumental.
   • Register the New Song with your PRO listing Kodi Owens (Phunkee Phoot) as a co-writer at that split.

7. 7. What you may not do

   • Resell, re-license, give away or redistribute the Beat on its own, in any form, tagged or untagged.
   • Register the Beat or the New Song with a content-ID system (YouTube Content ID, Facebook Rights Manager, or similar) in a way that claims the instrumental itself.
   • Use the Beat in film, TV, advertising, games or other sync placements — those need a separate written license.
   • Claim authorship of the Beat or present it as your own production.

8. 8. Payment, refunds and termination

   • The license takes effect once payment clears. Because the files are delivered digitally, all sales are final and non-refundable.
   • Studio 22 Phunkee Phoot Productions may terminate this license if its terms are broken and the breach is not fixed within 14 days of written notice. On termination you must stop distributing the New Song.

9. 9. Governing law

   • This agreement is governed by the laws of the State of Arkansas, United States.
   • It is the entire agreement between the parties and replaces any prior discussion. Changes must be in writing and agreed by both sides.
